Terms of Service

These Terms of Service (“Terms”) govern your access to and use of VYBEV — including the website at vybev.app, the backend API, the desktop ambient experience client, and any related services (collectively, the “Service”) — operated by i2L Tech (“i2L Tech,” “we,” “our,” or “us”).
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use VYBEV.
1. The VYBEV Service
VYBEV is an ambient art experience where photographers and digital artists upload once and get paid fairly, while fans live with their work across every screen. The funnel is Feel → Discover → Connect → License / Own.
Pre-launch (today). The only public feature is the waitlist email capture. No accounts, uploads, purchases, or payouts are available.
At launch. The Service will offer the four pillars described in Section 7: View, Download, License, and Own. Some features may remain in limited access, and the Service may change or evolve without prior notice during early phases.
2. Eligibility
- You must be at least 13 years old (or the minimum legal age in your jurisdiction, whichever is higher).
- If you are using VYBEV on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
- You must use the Service in compliance with all applicable laws.
3. Accounts and authentication
VYBEV uses passwordless authentication via our provider, Privy. You sign in by email link, social login, or wallet signature. Privy may provision an embedded wallet for you automatically; VYBEV does not see or store your keys.
- You are responsible for keeping your sign-in method secure.
- You agree to provide accurate and current information.
- One account per person; account sharing is not permitted.
- We may suspend or terminate accounts that violate these Terms (see Section 12).
4. Acceptable use
You agree not to:
- Use the Service for illegal, harmful, or abusive activities.
- Upload content that infringes intellectual property rights, is defamatory, or violates anyone’s privacy.
- Attempt to reverse-engineer, scrape at scale, or misuse the platform, smart contracts, or AI systems.
- Circumvent VYBEV’s content protection measures (perceptual hashing, watermarks, steganography) or distribute tools that do.
- Interfere with or disrupt the Service, its infrastructure, or other users’ ability to use it.
- Automate waitlist signups, create fake accounts, or engage in engagement fraud (bots inflating view/like counts to manipulate the reward pool).
- Impersonate another person or create a creator profile claiming work you did not create.
We reserve the right to restrict, suspend, or terminate access for any violation. Engagement fraud specifically may forfeit pending creator payouts.
5. Intellectual property
Our property. VYBEV — its software, design, branding, trademarks (including VYBEV™), smart contracts, and the underlying technology — is owned by or licensed to i2L Tech and is protected by intellectual property laws. You may not use our branding or trademarks without written permission.
Your uploaded content. When creator upload features are enabled:
- You retain full ownership of the photos and other content you upload. VYBEV does not claim ownership of your creative work.
- You grant i2L Tech a worldwide, non-exclusive, royalty-free license to host, display, distribute, and promote your content on the VYBEV platform, solely to operate the Service as you have configured it. This license ends when you remove the content from the Service, except to the extent needed to honor existing licenses or NFT ownership already transferred.
- You represent and warrant that you own or have the rights to upload the content, and that it does not infringe any third-party rights.
6. Creator economy — revenue splits
The following splits are encoded in VYBEV’s smart contracts deployed on Polygon PoS and cannot be changed for existing collections once deployed:
Engagement scoring. Each engagement event is weighted as follows: view (1 point), like (5), pin (10), follow (10), share (15), purchase (50). Your weekly share of the pool equals your share of total platform engagement points for that week. We reserve the right to adjust weights with advance notice if we detect systemic abuse.
Creator probation. New creator accounts enter a 30-day probation period. The first NFT mint requires manual curation review before it goes live. This protects existing creators and the quality of the discovery feed.
Payouts. Creators can choose fiat (via Stripe Connect) or crypto (USDC on Polygon). Third-party processor terms apply (Stripe Connected Account Agreement for fiat; standard on-chain transaction mechanics for crypto). We do not charge additional platform fees on payouts beyond the splits above.
7. Four-pillar licensing model
Every piece of content on VYBEV may be experienced through one or more of the following four pillars. Which pillars are available for a given photo is set by the creator.
- View — subscribers can view the content in-app and through the desktop ambient experience client. No download, no commercial use. Access ends when the subscription ends.
- Download — subscribers on qualifying tiers may download the content for personal, non-commercial use on their own devices. Redistribution is not permitted.
- License — a one-time commercial license purchased per image. Terms are disclosed at checkout; the creator receives 80% of the purchase price.
- Own — purchase a limited edition NFT, giving you verifiable permanent ownership and the right to resell on any ERC-1155 marketplace. The creator earns 7% (via ERC-2981) on every resale, forever.
Pool photos stay in the pool. If a photo is available to subscribers, it remains available to all qualifying subscribers regardless of whether an NFT of it has been minted or sold. Ownership of an NFT does not remove the photo from the subscriber pool.
8. Blockchain, wallets, and ownership
On-chain actions are permanent and public.
NFT mints, purchases, resales, and subscription proofs are recorded on the Polygon PoS blockchain. Neither you nor VYBEV can reverse or modify them after the fact.
- NFT ownership — once you purchase an NFT on VYBEV, you own it. VYBEV cannot revoke it. You can transfer or resell it on any ERC-1155-compatible marketplace.
- Edition supply is locked at mint and can never be increased. The supply you see at time of purchase is the final supply.
- Resale royalties are automatic on marketplaces that honor the ERC-2981 standard (OpenSea, Rarible, Blur, and most others). We cannot guarantee enforcement on marketplaces that ignore ERC-2981.
- Gas fees on Polygon are paid by the party initiating the transaction (buyer on mint, seller on list, etc.). VYBEV does not rebate gas fees.
- Wallet security— if you bring your own wallet, you are solely responsible for protecting your keys. If you use Privy’s embedded wallet, Privy’s terms apply for key custody; refer to Privy’s own policy.
- Soulbound subscription tokens — when you subscribe, a non-transferable token is issued to your wallet as proof. It cannot be sold or transferred and is revoked if your subscription lapses.
9. AI-generated content and AI-training consent
VYBEV is a platform for human-created work.
- No AI-generated submissions.Creators may not upload AI-generated images to VYBEV. Human attestation and (where available) C2PA provenance checks run at upload. AI-generated content uploaded in violation of this rule may be removed, and the creator’s account may be suspended.
- No AI training without per-image consent. We do not train, license, or provide creator content for training AI models without explicit per-image opt-in. Consent defaults to OFF. Creators who opt in may specify permitted training types and may revoke consent at any time (revocation is forward-only; we cannot retract training that already occurred).
- No AI content generation by VYBEV. The VYBEV platform does not generate images. All discoverable content is human-created.
10. Content rules and enforcement
- One photo, one NFT collection. Each photo may appear in at most one minted NFT collection on VYBEV, ever. Perceptual hashing runs at upload to enforce this.
- No pre-existing NFTs. You may not bring a photo to VYBEV that has already been minted as an NFT on another platform or another blockchain. This preserves the edition-scarcity promise made to VYBEV buyers.
- Edition supply is immutable. Once minted, you cannot increase the edition size.
- Pool photos stay in the pool. See Section 7.
- Curation. New uploads enter a curation queue reviewed by our team. We may reject content that does not fit the launch niche (photographers + luxury aesthetics), that appears AI-generated, or that violates these Terms. Creator probation (Section 6) is a feature of this process, not a punishment.
- Content protection. VYBEV employs perceptual hashing, watermarking, steganographic fingerprinting, and takedown tooling (e.g. Pixsy) to detect and respond to unauthorized reuse of creator content.
- DMCA / takedown. If you believe content on VYBEV infringes your rights, contact legal@i2ltech.com with the information required by the DMCA. We will investigate and remove infringing content where required.
What NFT ownership does and does not include.
When you mint a photo as a VYBEV NFT, the buyer receives a token representing ownership of a specific edition — with the right to hold, transfer, or resell it — plus the automatic resale royalty described in Section 6. NFT ownership does not grant exclusivity over the underlying image.
You (the creator) retain every other right, including:
- Selling prints or digital downloads from your own channels.
- Licensing the photo commercially (Getty, Shutterstock, private clients, editorial, etc.).
- Displaying on your portfolio, social media, or press.
- Any other standard use a photographer or digital artist would normally make of their work.
Only one cross-platform restriction applies: you agree not to mint the same photo as an NFT on any other platform or blockchain for as long as the VYBEV collection exists, so the edition-scarcity promise made to VYBEV buyers remains true. Pool-only photos (never minted as NFT) have no cross-platform restriction.
11. Payments and pricing
Subscription tiers, per-image licensing prices, and NFT drop prices are disclosed at the point of purchase. Placeholder tiers may be shown on the landing page before launch; the final tiers and amounts will be published here before any paid feature goes live.
- Subscriptions may auto-renew unless canceled. You can cancel at any time from your account; access continues until the end of the current billing period.
- Refunds follow the applicable processor’s policies (primarily Stripe) and VYBEV’s published refund terms when they are published. On-chain NFT purchases are non-refundable by design (see Section 8).
- Taxes are your responsibility. Stripe Connect collects and remits where required; you may be responsible for additional local taxes.
12. Termination
We may suspend or terminate your access to the Service if:
- You violate these Terms.
- Required by law.
- Necessary to protect the Service, other users, or the integrity of the creator economy (including suspected engagement fraud, see Section 4).
You may stop using the Service at any time. You can request deletion of your account and associated personal data per our Privacy Policy Section 7 — note that on-chain information cannot be deleted (Privacy Policy Section 8).
13. Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, timely, secure, or error-free service.
14. Limitation of liability
To the maximum extent permitted by law, i2L Tech will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability will not exceed the greater of the amounts you paid to us in the twelve months preceding the claim, or one hundred U.S. dollars ($100).
Blockchain transaction outcomes, third-party wallet or marketplace behavior, and gas fees are explicitly outside our control and outside the scope of our liability.
15. Indemnification
You agree to indemnify and hold harmless i2L Tech from any claim, demand, damages, or expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) content you upload or license, (c) your violation of these Terms, or (d) your violation of any third-party right.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. The exclusive venue for disputes is the state and federal courts located in Delaware, and you consent to personal jurisdiction there.
17. Changes to these Terms
We may update these Terms as VYBEV evolves. If the changes are material, we will update the “Last updated” date at the top and notify users where legally required. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
